JOB DESCRIPTION:
- You will be reporting to the Company Secretary Senior Manager of the group, you as IN-HOUSE CORPORATE SECRETARY MANAGER will lead on ensuring good standing of internal entities with a key focus on the Luxembourg subsidiaries of Alter Domus.
- You will fully support the Company Secretary Senior Manager of Alter Domus
- You will be accountable for the good standing of the Luxembourg entities of Alter Domus:
- Enhancing governance, implementing regular board meetings, from board packs to minutes and actions lists
- Handling statutory requirements processes from end to end such as approval of accounts or updating by-laws
- Ensuring legal requirements are duly complied with, be it for instance in the number of members of social organs or in the attributions of business licence
- Maintaining all registers and records up to date
- Regularly reporting on the good standing status of all entities
- You will foster communication on deliverables at highest level of management (Group Executive Board, shareholders, founders)
- You will interact with stakeholders from all over the globe to facilitate execution of key corporate documents and maintain accurate records of group documents
- You will ensure due respect of group key confidential documentation
- You will protect the Alter Domus brand and its stakeholders in accurately replying to KYC queries
- You will safeguard our corporate structure and be able to explain it to the regulators of Alter Domus as well as any forthcoming change to it
- As a Manager of Alter Domus, you will also be responsible for driving a culture of:
- change when necessary, delivering communications and directions to the counterparties
- compliance and risk control to mitigate financial, operational and reputational risks
- accountability, maintaining a relentless focus on cost and budget discipline
- promoting and building the Alter Domus brand and culture both internally and externally
- highest social and environmental responsibility and standards to be maintained by the Company Secretary function
YOUR PROFILE:
- You hold a university degree in corporate law ideally completed by postgraduate studies in business management
- You have 5 to 7 years of experience in Company Secretary, ideally as an in house Company Secretary
- You are fully knowledgeable of Luxembourg corporate laws and have a good command in Excel
- You have a deep sense of rigor with attention to detail, and discipline with loyalty to management
- You demonstrate a strong commitment to high integrity and ethics, ensuring quality and consistency across all types of deliverables
- You have an intellectual curiosity and a global mind-set, backed by a true sense of humility and discretion, allowing you to partner effectively with agility and flexibility
- You possess strong interpersonal skills – influencing and building trust quickly, navigating complexity with confidence and political sensitivity
