For our office in Luxembourg, we are currently looking for a Company Secretary Senior Manager. We offer a dynamic and international corporate atmosphere as well as the benefit of customized training adapted to your needs throughout your career.

JOB DESCRIPTION:
Leading a segment specialist team providing Company Secretary services to clients, you serve as a leader and critical liaison both with internal stakeholders and as a main point of contact to our clients.  You will be responsible for leading the company secretarial service delivery for various complex fund and corporate entities. As a Senior Manager, you will possess up to date technical knowledge and ensure operational excellence is delivered to clients, providing team support, guidance, and ensuring the implementation of our strategic vision.  

YOUR RESPONSIBILITIES WILL INCLUDE:

•    Lead the Segment Cosec Function providing services to Luxembourg based structures; 
•    Develop and maintain relationships with clients, internal stakeholders in the Business Units, and team leaders in our Central Operations locations; 
•    Serve as a key point of contact for our client boards of directors, representing Alter Domus at the highest levels, including the possibility to hold board mandates and act as a Board member on client entities;  
•    Overseeing the team in charge of day-to-day company secretarial operations of the entities managed by Alter Domus and the various transactions (e.g. incorporation, share allotment, capital reduction, change of directors, strike off, amendment of articles of association, buy back, power of attorney, loan notes etc.) to include overseeing the preparation and/or review of the necessary corporate approvals, statutory filings, statutory registers updates etc;
•    Ensure that as a result of the Cosec operations, all agreed KPIs are met to satisfy both client expectations and internal best practice standards; 
•    Collaborating with others on the setup and/or on-boarding of client structures, and the Cosec aspects of complex international structures;
•    Oversee services to clients and ensure Cosec processes are delivered to a high quality and in a timely manner;
•    Managing priorities and critical decisions and supporting the team and peers;
•    Preparing for and participating in board and shareholders' meetings and ensuring processes and turnaround are adhered to;
•    Advising on best practice, preparing for and providing board support services;
•    Monitoring changes in relevant legislation and the regulatory environment and taking the appropriate action on behalf of clients and internally;
•    Supporting client engagement and transactional activity and ensuring the highest level of application for current and future technology solutions specifically in the Cosec space but wherever applicable;
•    Leading by example in managing your team and upholding workplace morale by fostering a positive atmosphere and collaborative environment with an inclusive management style. Leveraging this to build highly effective teams with a positive culture, driving collaboration, and ensuring client and solution focused staff;
•    Setting the tone for the company secretarial service line across the teams and business. Ensuring appropriate team structures and cover for all clients. Promoting the interaction with the wider business to deliver a seamless service to the clients; and
•    Being responsible for staff training and development as well as performance appraisals.

YOUR PROFILE:
•    Hold a relevant professional qualification or be working towards one;
•    Have minimum 6/7 years of experience in a corporate or funds legal department in Luxembourg and you have with a good understanding of funds management;
•    Have experience as team leader and (ideally) experience working with multiple countries;
•    Have relevant experience managing corporate and fund structures of a similar nature and strong company secretarial knowledge;
•    Having a general understanding of other areas such tax, accounting, regulatory and AML requirements is of benefit;
•    Proven capacity to build strong client relationships, and take initiative to act without waiting for direction when appropriate;
•    Demonstrated effective communication and management skills and ability to build high performing teams whilst fostering a positive work environment;
•    Demonstrated success in supporting boards;
•    Ability to identify and escalate matters as and when required;
•    Possess a flexible and hands-on approach; 
•    Organised with an eye for detail;
•    Ability to work under pressure, prioritise and handle multiple projects simultaneously;
•    Demonstrated commitment to deliver excellent client service;
•    You have a very good level in English.
