JOB DESCRIPTION:
- Lead the Company Secretarial (‘Cosec’) function in Singapore, work closely with the Cosec teams across APAC and Central Operations to ensure alignment and consistency of service;
- Act as a Qualified Individual and fulfil the statutory requirements of a qualified company secretary in accordance with Alter Domus’ or the client’s mandate;
- Manage and develop the Cosec Operational Services team, appropriate resourcing, training, and delivery of high-quality, timely services to clients;
- Leading by example and upholding workplace morale by fostering a positive atmosphere and collaborative environment with an inclusive management style. Leveraging this to build highly effective teams with a positive culture, driving collaboration, and ensuring client and solution focused staff;
- Overseeing day-to-day company secretarial operations for client entities, including board and shareholder meetings, written resolutions, statutory filings, registers updates, incorporation, share allotment, capital reduction, directors change, dissolution, amendment of articles of association, and power of attorney etc.;
- Serve as a key contact for our client boards of directors, representing Alter Domus at the highest levels;
- Supervisor setup and on-boarding of client structures including Cosec aspects of complex international structures;
- Build and maintain strong client relationships, ensuring expectations are consistently met or exceeded;
- Develop and maintain strong internal relationships with key stakeholders e.g. fund accounting teams, senior leadership, and relationship managers etc.;
- Provide guidance or mentorship to team member, supporting their professional growth through coaching and development;
- Keep up to date with legal and regulatory developments relating to corporate governance and ensure timely communication of change impacting clients;
- Drive process improvements and implement best practices for Company Secretarial services, including policy development and adherence to established procedures;
- Promote and ensure technology adoption and efficiency initiatives, leveraging automation and functionalization to enhance service delivery;
- Support senior management in business development activities, including preparing fee proposals and attending prospects meetings;
- Manage finance KPIs, including internal reports, timesheet compliance, monitoring out of scope work, billing process and aging follow up, etc.
- Assist with internal corporate governance of the Alter Domus Singapore entities.
YOUR PROFILE
- Hold a relevant degree (e.g. Law, Business etc.) and/or professional qualification such ICSA/CGI;
- Over 8 years of experience managing corporate structures with strong expertise in company secretarial practice;
- Solid management skills and ability to delegate work effectively and supervise team;
- General understanding of other areas such tax, accounting, regulatory, data protection and AML requirements;
- Strong knowledge of ACRA processes and related regulations;
- Proven proactive capacity to build strong client relationships;
- Effective communicator across regions, time zones, and diverse cultures;
- Fluency in English is essential, proficiency in additional Asian languages (i.e. Mandarin, Hindi) is an advantage;
- Ability to work under pressure, prioritize tasks, and manage multiple projects simultaneously;
- Demonstrated commitment to deliver excellent client service.
